ENTERPRISE RISK MANAGEMENT:
RISK-BASED THINKING FOR IN-HOUSE LAWYERS

Associazione Italiana Giuristi d’Impresa (AIGI), the Italian Association of Company Lawyers, member of ECLA (European Company Lawyers Association), will host the 6th edition of the Summer School at the medieval village of Bertinoro (Forlì – Cesena) – Italy.
The Summer School will provide participants with the opportunity to focus on the key topics that an in-house counsel should consider in identifying and being ready to evaluate Enterprise Risk Management issues from a legal perspective, leveraging on the professional experience of the Speakers that will join the sessions. The aim of the program is to balance legal and academic principles with useful cases and to foster interactive discussions, sharing know-how and best practices.

The program is addressed to in-house counsels, head of legal departments and general counsels, who are interested in promoting and implementing the risk management mindset, having a clear overview of company risks and useful tools to manage today’s risks of their companies.
Being the audience composed only by in-house counsels, the participants will have the opportunity to work with colleagues with similar backgrounds, eager to share their experience with other colleagues.
The lecture material will be in English, but the lessons will be in Italian unless there will be foreign participants, so it is recommended to have a good command of English.

The AIGI Summer School is a unique opportunity to acquire knowledge and skills that will foster the professional development of the participants and will provide an overview of the Enterprise Risk Management (ERM) framework and the approaches for embedding ERM in the companies considering all possible interactions between key stakeholders, senior management, officers and the legal department.
At the same time, the AIGI Summer School is an opportunity to meet colleagues and speakers in an informal environment which facilitate networking and to enjoy some free time through social activities organized in Bertinoro.

The course will analyze the best practices for measuring risk level, assessing potential threats, identifying and responding to risk events, protecting enterprise value, providing tools for inhouse counsels to strengthen their company’s approach, managing both internal and external risks.

The lessons will be based on a combination of focused lectures and practical case studies which will be useful to prevent, address and manage corporate risks from a legal standpoint and in the most suitable manner.

The program will be held by experienced senior In-House counsels and by high standing attorneys / academic speakers with strong professional expertise in the relevant fields.

Liuma Alessia Casaccia

Liuma Alessia Casaccia is a corporate generalist legal counsel with substantial in-house legal experience. She is +20y/PQE and has an extensive experience as an international commercial and trading lawyer (IT, Oil & Gas and Telecoms) supporting diverse range of divisions, plus a background as manager associate in one of the top tier International Law Firms.
On February 2024 she has been appointed as Global Sales, Services and Solutions & Sales Innovation Legal Director of HP Inc.
Before taking over that role in HP, she acted (2020 – 2024) as Head of Legal at HP Italy, supporting the C-Levels and assisting other stakeholders and mid-top managers in the analysis and resolution of diverse range of issues, operating successfully to progress a portfolio of live matters.
Previously, she worked at Shell, as Italy Downstream leading counsel and then as Legal Counsel Gas, Power & Environmental Products in London at Shell International Trading and Shipping.
On 2023 she has been included in the Legal 500 GC Powerlist within the most influential and innovative in-house counsels list.

Milena Cirigliano

Head of Integrated Compliance, Antitrust and Privacy, Member of the Monitoring Body and Data Protection Officer at Gruppo API, an Italian leading Oil group.
Qualification to practice legal profession.
Expertise on regulations and legislations related to contracting, data protection, compliance, corporate, business planning, safety, energy & M&A and joint ventures; Support on sustainability and ESG.
Author of various publications concerning Integrated compliance
Speaker on seminars and conferences on Integrated compliance.

Michele Carpagnano

Michele Carpagnano is a partner in Dentons’ Rome office and the head of the Italian Competition & Antitrust practice, PhD, he holds a teaching position in EU Competition Law at University of Trento. Founder and Co-Director of Trento Summer School in Advanced EU Competition Law & Economics, he is also the Founder and Co-Director of the Osservatorio Permanente sull’Applicazione delle Regole di Concorrenza and the Founder and Co-Director of the Osservatorio Golden Power. As an Attorney he represents national and multinational companies before the Italian Competition Authority as well as the European Commission and as a legal expert he has been involved in several cases and class actions before domestic courts concerning antitrust infringements. Michele Carpagnano advised the European Parliament on the introduction of EU legislation on collective redress. He is author of three books on private antitrust enforcement and several articles on competition law issues.

Giovanni Cerutti

Giovanni Cerutti is Member of AIGI General Council. Gained more than 40-year professional experience as Company Lawyer in International Groups (ENI, Honeywell, Bull, Wang, Getronics, Value Team, Value Partners, NTT DATA). From 2012 to 2022 (when he retired) he acted as SVP and Regional General Counsel of NTT DATA Emea Ltd. (UK), with span of responsibilities over many jurisdictions and direct involvement in M&A transactions in Europe, Latam and Far East. He also served as UK Lead DPO (CIPP/E certified). Holds a U.S. Master’s Degree as Fulbright Scholar. Held a 6-year tenure in the Board of ECLA – “European Company Lawyers Association”. Co-author of papers published by Lexis Nexis (ECLA White Book “Company Lawyers: independent by design”) and by AIGI / Giuffrè. Loves his 2 French-speaking grand-children.

Gerardo Di Filippo

Gerardo Di Filippo is the Head of Group Risk Management Processes and Operations within Generali Group since 2006. Within his role he is responsible for the operational functioning of the Risk activities, increasing efficiency and effectiveness of risk processes, and including the development of application to support the digitalization of the function for the relationship with the National Supervisory Authorities. Moreover within his role he is also leading the climate risk and geopolitical risk assessment evolution.
Prior this role, Gerardo has always been working in the insurance industry and specifically in risk area, ranging from the capital modelling to the strategic consultancy. He holds a degree in applied mathematics and a master in Corporate Finance.

Giulio Fazio

Giulio Fazio is an Italian Attorney with a Ph.D. in Business Law and years of experience in the energy sector. He has been the Group General Counsel of Enel, leading, developing, and managing a high-performance and skilled team of over 700 people in 32 countries. Giulio is an expert in M&A, corporate and structured finance, corporate governance, compliance, international and ICSID litigation, climate change, and ESG “transformational” governance. On the latter, He led until June 2023 the UN Global Compact think lab launched during the UN General Assembly in 2021. In Enel Group, he contributed to transforming the Company from a domestic to a multinational entity and integrating teams from different geographies.
PhD in Company Law and Lecturer in Italian Universities, he works in different jurisdictions (mainly US, EU, UK, Latin American countries, India, Australia, and South Africa). He sat on the board of international listed companies and led the corporate governance integration process of a Group composed of 14th listed companies, dealing with different regulatory stock exchange rules.

Fabio Fiumanò

Fabio Fiumanò is Legal Manager Southern Europe and Compliance Officer at Hilti Italia S.p.A. Hilti is a Global company known for quality, innovation and direct customer relationships that operates in more than 120 countries with more than 31,000 employees around the world. Before being Legal Manager Southern Europe & Compliance Officer, Fabio was Labour & Compensation Specialist, Legal Counsel and Legal Manager Italy, he managed also HSE department for more than 8 years. He achieved a degree in Law (2004) and specialization in civil law after two years’ postgraduate school (2006).Fabio’s main activities and responsibilities are national and international contracts, compliance programs, crisis management (as Crisis Coordinator), risk management (as secretary and member of the company Risk Committee). Since 2021, his responsibility has been extended to Southern Europe (11 countries).He is an active member of AIGI and, since 2018, he has also been a member of Aigi Summer School Scientific Committee.

Vittorio Tommasone

Vittorio has been working in IBM for 10 years and his experience includes leading the legal support both for IBM Consulting Italia, the IBM structure dedicated to strategic and technological consultancy, as well as for the software and cloud area, thus consolidating a 360° experience in the cloud, Artificial Intelligence and new technologies. He is currently also legal leader for all AI and antitrust matters in Italy.
Vittorio graduated with top marks from the University of Milan, then registering with in the Milan Bar.
Before joining IBM, Vittorio worked at top international law firms, where he also had the opportunity to consolidate his experience abroad, with a position in London as head of the Italian desk of one of the firms.
The years spent in the USA, Spain and Peru complete his international profile.
